SETANTA DRIVELINE WARRANTY
TERMS AND CONDITIONS
DEFINITIONS AND INTERPRETATION
• “Buyer'' means the business customer identified in the Warranty Certificate who purchases the Vehicle from the Seller.
• “Commencement Date'' means the date of delivery of the Vehicle to the Buyer as recorded in the Warranty Certificate.
• “Covered Component'' means a component specifically listed under Section 4 of these Terms and Conditions.
• “Delivery Mileage'' means the odometer reading of the Vehicle at the Commencement Date as recorded in the Warranty Certificate.
• “Mechanical Failure'' means the sudden and unforeseen failure of a Covered Component to perform its intended function due to a defect in materials or workmanship, which failure is not caused by any Excluded Cause.
• “Purchase Price'' means the purchase price (excluding VAT) of the Vehicle as stated in the sale invoice issued by the Seller.
• “Seller'' means Setanta Vehicle Sales North Ltd and its affiliated companies.
• “Vehicle'' means the used commercial vehicle identified in the Warranty Certificate.
• “Warranty'' means this Driveline Warranty provided under these Terms and Conditions.
• “Warranty Certificate'' means the customer acceptance document signed by both parties which incorporates these Terms and Conditions by reference.
• “Warranty Period'' means the period and/or mileage limit selected in the Warranty Certificate, commencing on the Commencement Date.
2. SCOPE AND APPLICATION
2.1 Eligibility
This Warranty is available only to business customers purchasing used commercial vehicles from the Seller on a business-to-business (B2B) basis.
2.2 Vehicle Eligibility
• The Warranty applies only to used commercial vehicles sold by the Seller.
• Vehicles must be in roadworthy condition at the point of sale.
• The Seller reserves the right to exclude specific vehicles from Warranty coverage based on age, mileage, condition, or service history.
2.3 Warranty Options
Used commercial vehicles may be sold with the following warranty cover at the discretion of the Seller and as stated in the Warranty Certificate:

The Warranty expires on whichever of the time period or mileage limit is reached first.
3. WARRANTY COVERAGE PRINCIPLES
3.1 Nature of Coverage
This Warranty covers Mechanical Failure of Covered Components only. The Warranty does not cover:
• Fair wear and tear or gradual deterioration
• Routine maintenance or servicing
• Consumable items or parts subject to normal operational degradation
• Any component not specifically listed as a Covered Component
3.2 Financial Limit
The maximum aggregate liability of the Seller under this Warranty is limited to 15% of the Purchase Price of the Vehicle. This cap applies cumulatively to all claims made during the Warranty Period.
Once the cumulative value of approved claims reaches this limit, the Warranty shall automatically terminate, and the Seller shall have no further liability under this Warranty.
3.3 Non-Transferability
This Warranty is personal to the original Buyer and is non-transferable. The Warranty automatically terminates upon sale, transfer, disposal, or change of ownership of the Vehicle.
4. COVERED COMPONENTS
The Warranty covers Mechanical Failure of the following Covered Components only:
4.1 Engine Components
• Short engine block (cylinder block and crankcase)
• Crankshaft, main bearings, and thrust washers
• Pistons, piston rings, piston pins, and circlips
• Connecting rods and connecting rod bearings
• Camshaft and camshaft bearings
• Timing gears, timing chain or timing belt (internal), and tensioners
• Engine oil pump and oil pump drive
• Cylinder head assembly (cylinder head casting)
• Valves (inlet and exhaust), valve springs, valve guides, and valve seats
• Rocker arms, rocker shafts, and push rods
• Engine brake assembly (intarder/retarder mechanism)
• Fuel injection pump (mechanical and high-pressure)
4.2 Transmission Components
• Gearbox casing (transmission housing)
• Input shaft, output shaft, and intermediate shafts
• Gears (all ratios), synchroniser rings, and synchronising hubs
• Selector forks, selector shafts, and shift rails
• Bearings (all internal transmission bearings)
• Transmission oil pump and oil cooler
• Gear selector mechanism (internal mechanical components)
• Transmission Electronic Control Unit (ECU)
• Axle brake assembly (integrated transmission brake)
4.3 Drive Unit and Final Drive Components
• Differential unit casing (axle housing)
• Differential gears (crown wheel and pinion, planet gears, sun gears)
• Differential bearings and differential carrier
• Drive shafts (half shafts and axle shafts)
• Propeller shaft (propshaft) and centre support bearing
• Hub reduction gears and planetary hub assemblies
• Differential lock gear and differential lock selector mechanism
• Final drive gears and bearings
5. EXCLUSIONS - COMPONENTS NOT COVERED
The following components are expressly excluded from Warranty coverage:
5.1 Engine Exclusions
• Fuel lift pump and fuel supply pump
• Flywheel and dual mass flywheel
• Clutch (clutch plate, pressure plate, release bearing, and clutch fork)
• Water pump and coolant thermostat
• Alternator, starter motor, and electrical charging system
• Fuel injectors (common rail injectors) and fuel injection nozzles
• Fuel pipes, fuel lines, fuel filters, and fuel tank
• Harmonic balancer and crankshaft damper
• Cooling fan, fan clutch, and radiator
• Power steering pump, power steering reservoir, and power steering lines
• Air compressor and air system components
• Turbocharger and turbocharger wastegate actuator
• Exhaust gas recirculation (EGR) valve and EGR cooler
• Diesel particulate filter (DPF) and selective catalytic reduction (SCR) system
• AdBlue injection system and AdBlue tank
• All sensors (including crankshaft position sensor, camshaft position sensor, temperature sensors, pressure sensors)
• All gaskets, seals, and O-rings
• Engine mounts and engine mounting brackets
• Timing belt or timing chain (external access/service items)
• All wiring looms, wiring harnesses, and electrical connectors
5.2 Transmission Exclusions
• Clutch components (clutch plate, pressure plate, release bearing, clutch fork, and clutch actuator)
• External gear linkages, shift cables, and gear lever assembly
• Transmission sensors (speed sensors, temperature sensors, pressure sensors)
• Transmission seals, gaskets, and O-rings
• Wiring looms, wiring harnesses, and electrical connectors
• Clutch hydraulics (master cylinder, slave cylinder, hydraulic lines)
• Transmission mounting brackets and transmission mounts
5.3 Drive Unit Exclusions
• External linkages and differential lock actuators
• Solenoids, electromagnetic actuators, and pneumatic actuators
• All electrical components, sensors, and wiring looms
• Axle seals, hub seals, gaskets, and O-rings
• Wheel bearings (unless forming part of hub reduction assembly)
• Universal joints (U-joints) and constant velocity (CV) joints
• Propshaft universal joints and propshaft slip yokes
• Axle mounting brackets and suspension mounting points
5.4 Ancillary Equipment and Body-Mounted Equipment
The Warranty does not cover any ancillary equipment, body-mounted equipment, or conversion equipment, including but not limited to:
• Cranes, hydraulic loaders, and Hiab equipment
• Tail lifts and loading platforms
• Tipper bodies, tipper rams, and hydraulic tipping mechanisms
• Refrigeration units and temperature control systems
• Tank bodies, cisterns, and liquid containment systems
• Compactors, refuse collection equipment, and bin lifting mechanisms
• Hydraulic systems (PTO-driven or independent)
• Custom bodies, dropside bodies, and curtainsiders
• All conversion equipment installed by third parties
The Buyer is solely responsible for verifying that all ancillary equipment meets operational requirements and for arranging maintenance, inspections, servicing, and warranty coverage directly with the relevant equipment manufacturers or suppliers.
6. GENERAL EXCLUSIONS
The Warranty does not cover:
6.1 Wear and Tear
• Fair wear and tear or gradual deterioration of components through normal use
• Deterioration due to age or mileage
• Corrosion, rust, or oxidation (internal or external)
6.2 Maintenance and Servicing
• Routine maintenance, scheduled servicing, or periodic inspections
• Oil changes, filter replacements (oil, fuel, air, AdBlue filters)
• Fluid top-ups or replacement of fluids (coolant, brake fluid, hydraulic fluid, AdBlue)
• Adjustment, calibration, or tuning of components
6.3 Consumable Items
• Brake pads, brake shoes, brake discs, and brake drums
• Tyres, wheel balancing, and wheel alignment
• Wiper blades, light bulbs, and fuses
• Batteries and battery terminals
• Exhaust systems (silencers, exhaust pipes, catalytic converters, DPF, SCR)
• Air filters, fuel filters, oil filters, cabin filters, and AdBlue filters
6.4 Contamination and Incorrect Fluids
• Damage caused by contamination of fuel, AdBlue, engine oil, transmission oil, or hydraulic fluid
• Use of incorrect, non-compliant, or substandard fluids or lubricants
• Use of fuel not meeting the manufacturer's specifications
• Failures arising from use of oils not compliant with VDS-4 or VDS-4.5 specifications in Euro VI engines
• Water ingress, dirt ingress, or foreign object damage
6.5 Misuse, Abuse, and Negligence
• Damage caused by misuse, abuse, improper operation, or negligent use of the Vehicle
• Overloading beyond the Vehicle's rated gross vehicle weight (GVW) or axle load limits
• Use of the Vehicle for purposes other than its intended commercial use (e.g., racing, off-road use, competitive events)
• Towing or carrying loads in excess of manufacturer specifications
• Failure to follow manufacturer operating instructions or safe operating practices
6.6 Lack of Maintenance
• Failures arising from failure to service or maintain the Vehicle in accordance with the manufacturer's recommended service schedule
• Continued operation of the Vehicle after a warning light, alarm, or fault indicator has activated
• Deferred maintenance or neglect of known defects
6.7 Accidents and External Causes
• Damage caused by accident, collision, impact, fire, flood, or Acts of God
• Damage caused by vandalism, theft, or malicious damage
• Damage arising from road hazards (potholes, kerb strikes, debris)
6.8 Modifications and Unauthorised Repairs
• Failures arising from modifications, alterations, or conversions not approved by the Seller or the Vehicle manufacturer
• Use of non-genuine parts, non-approved aftermarket parts, or reconditioned parts (unless approved in writing by the Seller)
• Repairs or attempted repairs carried out without prior written authorisation from the Seller
• Damage caused by faulty workmanship or improper repairs by third parties
6.9 Pre-Existing Conditions
• Defects, faults, or failures that existed prior to the Commencement Date
• Failures that commenced or were identifiable prior to the Commencement Date
• Defects disclosed to the Buyer prior to purchase or noted in pre-sale inspection reports
6.10 Consequential and Indirect Losses
The Warranty does not cover:
• Consequential losses, economic losses, or financial losses of any kind
• Loss of profit, loss of business, or loss of revenue
• Downtime, vehicle off-road time, or lost productivity
• Cost of hire vehicles, replacement vehicles, or alternative transport
• Towing costs, recovery costs, or roadside assistance (unless expressly agreed in writing)
• Accommodation, meals, or travel expenses
• Loss or damage to cargo, goods, or property carried in the Vehicle
• Any other indirect, special, or incidental losses
7. BUYER'S OBLIGATIONS
7.1 Maintenance Requirements
The Buyer must:
• Maintain and service the Vehicle in accordance with the manufacturer's recommended maintenance schedule throughout the Warranty Period.
• Use only fluids, lubricants, and parts that meet or exceed the manufacturer's specifications (OEM or equivalent).
• For Euro VI engines, use only engine oils compliant with VDS-4 or VDS-4.5 specifications. Use of non-compliant oils will void all Warranty claims relating to the engine.
• Retain all service records, invoices, receipts, and proof of maintenance for the duration of the Warranty Period and produce them upon request by the Seller.
7.2 Reasonable Use and Care
The Buyer must:
• Operate the Vehicle in a proper and reasonable manner and in accordance with the manufacturer's operating instructions.
• Not overload the Vehicle beyond its rated capacity.
• Not use the Vehicle for any purpose other than normal commercial road transport operations.
• Immediately cease operation of the Vehicle if a warning light, fault code, or unusual noise or vibration is detected.
7.3 Inspection and Access
The Buyer must:
• Provide the Seller with reasonable access to the Vehicle for inspection upon request.
• Make the Vehicle available at a location reasonably accessible to the Seller or its appointed agent.
• Provide copies of service records, maintenance logs, tacho data, or other documentation reasonably requested by the Seller in connection with a claim.
7.4 Failure to Comply
Failure by the Buyer to comply with any of the obligations set out in this Section 7 shall entitle the Seller to:
• Refuse or decline any Warranty claim in whole or in part.
• Terminate the Warranty with immediate effect.
• Recover from the Buyer any costs, expenses, or losses incurred by the Seller arising from the Buyer's breach.
8. CLAIMS PROCESS
8.1 Notification of Failure
Upon diagnosing or suspecting a Mechanical Failure of a Covered Component, the Buyer must:
1. Immediately cease operation of the Vehicle to prevent further damage or progressive failure.
2. Notify the Seller by telephone or email as soon as reasonably practicable, providing full details of the suspected failure.
3. Provide the Vehicle registration number, VIN, current mileage, description of symptoms, and any relevant fault codes.
8.2 Pre-Authorisation Requirement
No repairs may be commenced without prior written authorisation from the Seller.
• The Seller will review the claim with its Technical Department.
• The Seller may require the Vehicle to be inspected by its technician or appointed agent before authorising repairs.
• The Seller reserves the right to specify the repair facility, repair method, or source of replacement parts.
Any repairs carried out without written authorisation from the Seller will not be reimbursed under this Warranty.
8.3 Inspection and Diagnosis
• The Buyer is responsible for the cost of initial diagnosis and fault-finding unless the failure is subsequently confirmed as a Warranty claim.
• If a Warranty claim is approved, the Seller will reimburse reasonable diagnosis costs up to a maximum of 2 hours labour at the Seller's standard commercial rate.
• The Seller may require removal and inspection of failed components before authorising replacement.
8.4 Written Authorisation
If the Seller determines that the failure is covered under this Warranty, the Seller will issue written authorisation (by email or written document) specifying:
• The Covered Components approved for repair or replacement.
• The maximum approved repair cost or parts cost.
• The approved repair facility (if specified).
• Any conditions or limitations applicable to the authorisation.
8.5 Repair and Parts Supply
• Repairs must be carried out at a repair facility approved by the Seller (which may be the Seller's own workshop).
• The Seller may supply replacement parts directly or authorise the purchase of parts from third-party suppliers.
• All repairs and parts costs will be calculated at the Seller's standard commercial rates or at actual third-party supplier invoiced costs.
• The Buyer is responsible for any costs exceeding the authorised amount unless prior written approval for additional costs is obtained from the Seller.
8.6 Failed Parts Retention
• All failed Covered Components must be retained and made available for inspection by the Seller.
• Failed parts remain the property of the Seller and must be returned to the Seller upon request.
• Disposal of failed parts without the Seller's consent may result in denial of the claim.
8.7 Time Limits for Claims
• Claims must be notified to the Seller within 7 days of the failure occurring or being diagnosed.
• Claims notified after expiry of the Warranty Period will not be accepted, even if the failure occurred during the Warranty Period.
• The Seller reserves the right to refuse claims submitted outside these time limits.
8.8 Claim Documentation
The Buyer must provide the following documentation in support of a Warranty claim:
• Completed claim form (if provided by the Seller)
• Copy of the Warranty Certificate
• Evidence of current mileage (photograph of odometer)
• Service history and maintenance records for the Vehicle
• Details of the failure (symptoms, fault codes, diagnostic reports)
• Any other information reasonably requested by the Seller
8.9 Declined Claims
If a claim is declined, the Seller will provide written reasons for the decision.
9. FINANCIAL CAP AND PAYMENT TERMS
9.1 Maximum Liability
The Seller's total aggregate liability under this Warranty is limited to 15% of the Purchase Price of the Vehicle (excluding VAT), as stated in the Warranty Certificate.
9.2 Cumulative Limit
The financial cap applies cumulatively to all claims made during the Warranty Period. Once the cumulative total of approved claims reaches the cap, the Warranty automatically terminates, and the Seller has no further liability.
9.3 Calculation of Claim Value
Each claim will be valued based on:
• Cost of replacement parts (at the Seller's standard commercial pricing or actual supplier invoice cost)
• Labour costs (at the Seller's standard commercial hourly rate)
• Reasonable diagnosis costs (up to 2 hours labour if claim approved)
9.4 Betterment and Upgrades
• If a replacement part is of higher specification or newer design than the failed part, the Buyer may be required to contribute to the cost differential (betterment charge).
• The Seller will not cover the cost of upgrades, modifications, or improvements beyond like-for-like replacement.
9.5 Payment Method
• Where repairs are carried out at the Seller's workshop, the Seller will invoice the Buyer for any non-Warranty costs (e.g., consumables, additional work) and offset Warranty costs against the financial cap.
• Where repairs are carried out at a third-party facility with prior authorisation, the Seller will reimburse the Buyer or pay the repairer directly, at the Seller's discretion.
• Reimbursement claims must be supported by valid invoices and proof of payment.
10. TERMINATION OF WARRANTY
The Warranty will terminate immediately upon the earliest occurrence of any of the following:
1. Expiry of the selected time period from the Commencement Date.
2. The Vehicle reaching the selected mileage limit from the Delivery Mileage.
3. The cumulative value of approved Warranty claims reaching 15% of the Purchase Price.
4. Sale, transfer, disposal, or change of ownership of the Vehicle.
5. Total loss of the Vehicle (write-off, fire, theft, or irreparable damage).
6. Use of the Vehicle for purposes other than normal commercial road transport (e.g., racing, off-road, hire, or rental).
7. Material breach by the Buyer of any obligation under these Terms and Conditions.
8. Discovery of fraud, misrepresentation, or concealment of material facts by the Buyer.
Upon termination, the Seller has no further obligations under this Warranty, and no refund of any Warranty fee (if paid separately) will be provided.
11. EXCLUSION OF STATUTORY WARRANTIES
11.1 B2B Transaction
The parties acknowledge and agree that:
• This is a business-to-business transaction.
• The Buyer is purchasing the Vehicle for the purposes of its business.
• The Buyer is not a consumer for the purposes of consumer protection legislation.
11.2 Exclusion of Implied Terms
To the maximum extent permitted by law in business-to-business transactions, all conditions, warranties, and terms implied by statute or common law are excluded, including but not limited to:
• Implied terms as to satisfactory quality under the Sale of Goods Act 1893 and Sale of Goods and Supply of Services Act 1980.
• Implied terms as to fitness for a particular purpose under the Sale of Goods Act 1893 and Sale of Goods and Supply of Services Act 1980.
• Implied terms as to correspondence with description or sample.
• Any other statutory warranties or conditions.
11.3 Extent of Seller's Obligations
This Warranty sets out the full and exclusive extent of the Seller's obligations and liability regarding the condition, quality, and performance of the Vehicle and its components. No other warranties, representations, or undertakings (whether express or implied, oral or written) are given by the Seller.
11.4 Inspection Opportunity
The Buyer acknowledges that:
• The Buyer has had the opportunity to inspect the Vehicle prior to purchase or has waived such inspection.
• The Vehicle is sold as a used commercial vehicle with appropriate disclosure of its age, mileage, and condition.
• The Buyer has relied solely on its own inspection and assessment and not on any representation by the Seller (save as expressly set out in the sale contract or this Warranty).
12. LIMITATION OF LIABILITY
12.1 Direct Losses Only
The Seller's liability under this Warranty is limited to the direct cost of repairing or replacing Covered Components that suffer Mechanical Failure during the Warranty Period, subject to the financial cap set out in Section 9.
12.2 Exclusion of Indirect and Consequential Loss
To the fullest extent permitted by law, the Seller excludes all liability for:
• Loss of profit, loss of revenue, or loss of business.
• Loss of anticipated savings or business opportunity.
• Downtime, loss of use, or vehicle off-road time.
• Cost of hire vehicles or alternative transport.
• Loss or damage to cargo or goods carried.
• Wasted expenditure or abortive costs.
• Any indirect, consequential, special, or incidental losses or damages.
12.3 Cap on Aggregate Liability
In no event shall the Seller's total aggregate liability under or in connection with this Warranty (whether in contract, tort, negligence, breach of statutory duty, or otherwise) exceed 15% of the Purchase Price of the Vehicle.
12.4 Claims Against Third Parties
Nothing in this Warranty prevents the Buyer from pursuing claims against third parties (including component manufacturers, repairers, or maintenance providers) in respect of defects or failures arising from defective parts, faulty workmanship, or negligent maintenance.
13. DATA PROTECTION AND PRIVACY
The Seller will process personal data provided by the Buyer in connection with this Warranty in accordance with the General Data Protection Regulation (GDPR) and Irish data protection law. Personal data will be used for the purposes of administering the Warranty, processing claims, and maintaining records. The Seller's Privacy Policy is available at www.setantatrucks.ie.
14. DISPUTE RESOLUTION
14.1 Negotiation
In the event of any dispute arising out of or in connection with this Warranty, the parties agree to first attempt to resolve the dispute through good faith negotiation.
14.2 Mediation
If the dispute cannot be resolved by negotiation within 14 days, the parties agree to attempt to resolve the dispute through mediation administered by an agreed mediator or the Mediators' Institute of Ireland before commencing litigation.
14.3 Jurisdiction
These Terms and Conditions are governed by the laws of Ireland. The courts of Ireland shall have exclusive jurisdiction over any dispute arising out of or in connection with this Warranty.
15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms and Conditions, together with the Warranty Certificate, constitute the entire agreement between the parties regarding the Warranty and supersede all prior representations, agreements, or understandings (whether written or oral).
15.2 Variation
No variation or amendment to these Terms and Conditions shall be effective unless agreed in writing and signed by an authorised representative of the Seller.
15.3 Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
15.4 Waiver
No failure or delay by the Seller in exercising any right or remedy shall constitute a waiver of that right or remedy. No waiver shall be effective unless given in writing.
15.5 Assignment
The Buyer may not assign, transfer, or dispose of its rights or obligations under this Warranty without the prior written consent of the Seller. The Seller may assign or transfer its rights and obligations under this Warranty to any affiliated company within the Setanta Group.
15.6 Third Party Rights
No person other than the Buyer and the Seller shall have any right to enforce any term of this Warranty.
15.7 Notices
Any notice required to be given under this Warranty shall be in writing and delivered by email or registered post to the addresses specified in the Warranty Certificate or such other address as may be notified in writing.

16. ACCEPTANCE AND ACKNOWLEDGMENT
By signing the Warranty Certificate, the Buyer acknowledges and confirms that:
1. The Buyer has read, understood, and agrees to be bound by these Terms and Conditions.
2. The Buyer has had the opportunity to seek independent legal advice regarding these Terms and Conditions.
3. The Buyer understands the scope of Warranty coverage, the exclusions, the financial cap, and the claims process.
4. The Buyer understands its obligations regarding maintenance, servicing, and proper use of the Vehicle.
5. The Buyer is purchasing the Vehicle as a business customer for commercial purposes (B2B transaction).
6. The Buyer acknowledges the exclusion of statutory warranties and the limitation of the Seller's liability as set out in these Terms and Conditions.
